These Terms and Conditions (“Terms”) govern your access to and use of salinaflorists.com (the “Site”) and any products, services, features, communications, order services, promotions, or other services offered through the Site (collectively, the “Services”).

The Site is operated under the Salina Florist / Salina Florist Syracuse trade name by OnlyBlooms Inc. (“Salina Florist,” “we,” “us,” or “our”).

Please read these Terms carefully before using the Site or placing an order.

By accessing the Site, creating an account, placing an order, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy.

We reserve the right to update or modify these Terms at any time. Changes become effective when posted on the Site. Your continued use of the Site following any changes constitutes acceptance of the revised Terms.

1. SITE USE

You may use the Site only for lawful personal and commercial purchasing purposes and in accordance with these Terms.

You may not use the Site in any manner that could damage, disable, overburden, interfere with, or impair its operation, security, or availability.

You may not attempt to gain unauthorized access to the Site, customer accounts, systems, servers, or networks connected to the Site.

2. COPYRIGHTS AND TRADEMARKS

Unless otherwise stated, the content available through salinaflorists.com, including text, graphics, product descriptions, photographs, logos, icons, page layouts, design elements, and other materials, is owned by or licensed to Salina Florist or its respective content providers.

Such content is protected by applicable copyright, trademark, and intellectual property laws.

You may view or print reasonable portions of the Site for personal, non-commercial use. You may not reproduce, republish, distribute, modify, sell, license, display, or commercially exploit Site content without prior written permission from Salina Florist or the applicable rights holder.

All rights not expressly granted are reserved.

3. PERMITTED USE

You agree to use the Site only for legitimate purposes.

You may not copy, scrape, reproduce, systematically download, republish, or commercially exploit Site content without authorization.

You may not use automated tools, bots, crawlers, or other technologies in a manner that disrupts the Site or collects information from the Site in violation of applicable law.

4. ELIGIBILITY

To place an order through the Site, you must be at least 18 years old or the age of majority in your jurisdiction and legally capable of entering into a binding agreement.

By placing an order, you represent that the information you provide is accurate and that you are authorized to use the selected payment method.

5. CUSTOMER ACCOUNTS

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.

You agree to provide accurate and current information and to notify us promptly if you believe your account has been accessed or used without authorization.

We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, unlawfully, or in violation of these Terms.

6. PRODUCT INFORMATION

We make reasonable efforts to display product information, photographs, descriptions, colours, sizes, and prices as accurately as possible.

However, flowers and plants are natural and seasonal products. Their colour, shape, size, variety, and appearance may vary.

Product photographs are intended to represent the overall style and character of an arrangement but may not show the exact flowers, vase, container, greenery, packaging, or accessories delivered.

Availability may vary depending on season, supplier availability, weather conditions, and local inventory.

7. FLORAL SUBSTITUTIONS

Because flower availability changes throughout the year, substitutions may occasionally be necessary.

When a specific flower, colour, container, or decorative element is unavailable, we may substitute it with an item of comparable style, quality, and value.

We will make reasonable efforts to preserve the overall appearance, colour palette, style, and value of the arrangement originally ordered.

8. PRICING AND TYPOGRAPHICAL ERRORS

We make reasonable efforts to ensure that pricing and product information on the Site are accurate.

If a product is accidentally listed with an incorrect price, description, discount, or other information due to a typographical, technical, supplier, or system error, we reserve the right to correct the error and refuse or cancel the affected order.

If payment has already been collected for an order that we cancel because of such an error, the applicable amount will be refunded to the original payment method.

9. ORDER ACCEPTANCE

Receiving an order confirmation does not necessarily mean that your order has been finally accepted or fulfilled.

We reserve the right to accept, decline, cancel, or request additional verification for an order where reasonably necessary, including situations involving suspected fraud, payment issues, product unavailability, delivery limitations, incorrect pricing, incomplete information, or circumstances outside our reasonable control.

If we cannot fulfill an order that has already been paid, we will provide an appropriate refund or alternative solution.

10. PAYMENT AND TAXES

You agree to pay all charges associated with your order, including the product price, applicable taxes, optional add-ons, special service charges, and any other charges clearly disclosed before checkout.

Applicable sales or use taxes may be calculated and collected based on the delivery destination and applicable tax requirements.

Prices and payment options displayed at checkout are subject to change without notice before an order is submitted.

11. DELIVERY

Salina Florist provides floral delivery throughout Syracuse and eligible surrounding areas.

We make reasonable efforts to deliver orders on the requested delivery date; however, requested delivery times are not guaranteed unless specifically confirmed by us.

Same-day delivery is subject to order cutoff times, product availability, delivery capacity, weather, traffic, holidays, recipient availability, and other operational conditions.

For eligible same-day orders, current ordering cutoffs and delivery information are displayed in our Shipping Policy.

Delivery instructions provided by the customer will be followed where reasonably possible but cannot always be guaranteed.

12. DELIVERY ATTEMPTS AND REDELIVERY

Customers are responsible for providing a complete and accurate recipient name, delivery address, apartment or unit number where applicable, telephone number, and any relevant delivery instructions.

If nobody is available to receive the order, the delivery driver may, where reasonably appropriate and weather conditions permit, leave the arrangement in a safe location or with a neighbour.

If weather conditions or other circumstances make this unsuitable, the arrangement may be returned for redelivery.

An additional $10 redelivery fee may apply where another delivery attempt is required.

Salina Florist is not responsible for delays, unsuccessful deliveries, deterioration, or additional costs resulting from incorrect or incomplete delivery information provided by the customer, the recipient being unavailable, access restrictions at the delivery location, rerouting requested by the customer, or improper handling after delivery.

13. PHONE ORDERS

Orders placed through the Site are subject to the prices and delivery conditions displayed online.

Where telephone ordering is available, an additional $10 telephone-order service charge may apply.

14. CANCELLATIONS AND ORDER CHANGES

Because floral arrangements are perishable and are often prepared specifically for each customer, cancellation and modification options become limited once preparation has begun.

An order cannot normally be cancelled or changed after it has been prepared by our floral team, sent for delivery, or prepared for shipment.

Where an eligible order is cancelled before preparation has begun, a cancellation charge equal to 10% of the order total may be retained and the remaining eligible amount refunded.

During high-demand periods, including Valentine’s Day, Mother’s Day, Thanksgiving, Christmas, and other major floral holidays, modification or cancellation requests may be subject to additional limitations due to advance purchasing and preparation requirements.

Please contact us as soon as possible if you need to request a change or cancellation.

15. PROMOTIONS AND DISCOUNTS

Promotional offers, coupons, discount codes, gifts, free-delivery promotions, or other special offers may be subject to individual terms, eligibility requirements, expiration dates, exclusions, and availability.

Unless specifically stated otherwise, promotional offers may not be combined.

We reserve the right to modify, suspend, or discontinue promotions where permitted by law and to reject promotional codes that are expired, invalid, improperly obtained, or used in violation of their stated conditions.

16. FRESHNESS GUARANTEE

Eligible fresh-flower arrangements are covered by our 5-Day Freshness Guarantee, provided that reasonable flower-care instructions are followed.

If you experience a qualifying quality issue, please contact us as soon as possible and within five (5) days following delivery.

We may request photographs or other reasonable information to help us review the issue.

Where a claim qualifies under the guarantee, our remedy may include replacement of the affected product, delivery of an equivalent arrangement, store credit, or refund of the applicable purchase price, as appropriate to the circumstances.

The guarantee does not cover problems caused by improper care, extreme temperatures after delivery, incorrect delivery information supplied by the customer, recipient handling, or circumstances outside our reasonable control.

17. REFUNDS

Flowers and floral arrangements are perishable and made or prepared for specific delivery dates.

Refund eligibility therefore depends on the circumstances surrounding the order and is subject to our Refund Policy.

Orders that have already been designed, prepared, shipped, or sent out for delivery may not be eligible for cancellation or refund.

If incomplete or incorrect customer-provided address, recipient, contact, or delivery information prevents successful delivery, a refund may not be available.

Nothing in these Terms limits any rights or remedies that cannot legally be excluded under applicable consumer protection laws.

18. THIRD-PARTY LINKS AND SERVICES

The Site may contain links to websites, applications, payment processors, delivery services, or other resources operated by third parties.

We do not control third-party websites or services and are not responsible for their content, availability, security, privacy practices, or actions.

Your use of third-party services may be subject to separate terms and policies provided by those third parties.

19. USER CONTENT AND FEEDBACK

If you submit reviews, photographs, comments, feedback, suggestions, or other content through the Site, you represent that you have the right to provide that content and that it does not violate the rights of another person.

You grant Salina Florist a non-exclusive, worldwide, royalty-free right to use, reproduce, display, and publish content you voluntarily submit in connection with operating, improving, or promoting our Services, to the extent permitted by applicable law.

You retain ownership of your original content.

We may remove content that we reasonably believe is unlawful, misleading, abusive, infringing, fraudulent, or otherwise inappropriate.

20. PRIVACY

Your privacy is important to us.

Our collection, use, disclosure, and processing of personal information is governed by our Privacy Policy, which forms part of your relationship with Salina Florist.

By using the Site, you acknowledge that you have reviewed the Privacy Policy.

21. FRAUD AND UNAUTHORIZED ACTIVITY

We reserve the right to investigate orders or Site activity that we reasonably suspect may involve fraud, unauthorized payment methods, identity theft, abuse of promotions, security threats, or other unlawful activity.

We may suspend an order, request additional verification, cancel transactions, restrict Site access, or cooperate with payment providers, financial institutions, law enforcement, or other appropriate authorities where reasonably necessary or required by law.

22. DISCLAIMER

We make reasonable efforts to maintain accurate information and reliable Site functionality.

However, except where prohibited by law, the Site and its content are provided on an “as available” basis.

We do not guarantee that the Site will always operate without interruption, delay, technical error, or temporary unavailability.

Flowers are natural products and variations in appearance, colour, size, shape, and lifespan are normal and do not necessarily constitute a product defect.

23. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Salina Florist, OnlyBlooms Inc., and their respective directors, officers, employees, contractors, service providers, and representatives will not be liable for indirect, incidental, special, punitive, or consequential damages arising from the use of the Site or purchase or delivery of products.

Where liability cannot legally be excluded, our liability will be limited only to the extent permitted by applicable law.

Nothing in these Terms excludes or restricts any liability or consumer right that cannot legally be excluded or restricted.

24. EVENTS OUTSIDE OUR CONTROL

We will not be responsible for delays or failure to perform obligations caused by circumstances reasonably outside our control, including severe weather, natural disasters, transportation disruptions, road closures, labour disruptions, supplier shortages, power failures, telecommunications failures, government actions, emergencies, or other comparable events.

Where possible, we will make reasonable efforts to communicate significant delays and provide an appropriate alternative.

25. COMPLIANCE WITH LAW

You agree to use the Site and Services in compliance with all applicable laws and regulations.

We reserve the right to take reasonable action where we believe use of the Site violates these Terms, applicable law, or the rights of another person.

26. TERMINATION

We may restrict, suspend, or terminate access to the Site where we reasonably determine that a user has violated these Terms, engaged in fraudulent or unlawful conduct, interfered with the operation of the Site, or created a security risk.

Termination does not affect obligations or rights that arose before termination.

27. GOVERNING LAW

These Terms and any dispute arising from your use of the Site or purchase of products will be governed by the applicable laws governing Salina Florist and OnlyBlooms Inc., together with any mandatory consumer protection laws that apply to the customer or transaction.

Nothing in these Terms is intended to deprive a customer of protections that cannot legally be waived under applicable law.

28. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

29. NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
